Business and Corporate Law:
Business law is the area of law that involves the creation and ongoing management of a "business." Business can be any activity or enterprise that operates in order to make a profit. It can consist of one or more persons and include sole proprietorships, partnerships, corporations, limited liability companies (LLC), limited liability partnerships (LLP), joint venures or the like.
I have a long history of assisting clients in the formation, reorganization and ongoing management of businesses. My work includes the preparation of articles of incorporation or organization, operating agreements, shareholder agreements, employment agreements, contracts and Web site content. Corporate law is much like business law except that it focuses on corporations, both for profit and non-profit corporations.
Business Contracts:
Business contracts are written documents that embody a wide range of business relationships that occur in the life of a typical company. They can include purchase and sale agreements, shareholder or owner agreements, partnership or operating agreements, non-compete agreements, non-disclosure agreements, restrictive covenants, employment agreements, distributor agreements, sales representative agreements, consulting agreements, management agreements, franchise agreements, licensing agreements, deferred compensation agreements, independent contractor agreements, and others.
Business Development:
Business development law is a broad category that encompasses the rules and requirements for all phases of a business's life--from its creation, then all of the activities during its life and, finally, its termination. The creation of a business includes the decision whether to form the business as a sole proprietorship, a partnership, a limited liability company, a corporation or some other type of entity, or whether to set up as a nonprofit. I specialize in helping businesses make the corporate formation decision.
The activities during the life of a business include managing the various relationships that a company might have with its employees, customers, vendors, stockholders, bankers, the government and the public. Businesses also, of course, raise capital; keep records; file business and tax forms; hire employees; market and advertise their goods or services; merge with, acquire and/or sell other businesses; and a host of related activities.
Joint Ventures:
A joint venture is a short-term partnership in which the persons jointly undertake a transaction for mutual profit. Generally each person contributes assets and shares risk. Like a partnership, joint ventures can involve any type of business transaction and the "persons" involved can be individuals, groups of individuals, companies or corporations.
Finder Agreements:
A finder is someone who finds, introduces or otherwise brings together parties for a business transaction that the parties themselves negotiate and consummate. A finder's agreement is a written document that sets forth the compensation and other terms that will apply if a finder is able to bring the two parties together.
Incentive Compensation Plans:
An employee incentive compensation plan rewards employees whose improved performance lead to company growth and success. Many organizations find that employee incentive compensation not only helps achieve business objectives, but better controls fixed costs such as base salary compensation.
Employment Law:
Employment law encompasses a wide array of relationships between employers and employees. It involves hiring, firing and treatment during employment. Employment law includes all areas of the employer-employee relationship except negotiation of collective bargaining contracts and the collective bargaining process, which are covered by labor law. I can show businesses how to reduce their risk of employment-related issues and how to comply with relevant state and local laws. I can assist individuals in determing their obligations to employers and rights under employment contracts.
